Directors' payments at Green rise 10%

PAYMENTS to executive and non executive directors of Green Property rose by 10 per cent to £1,055,000 in 1996 from £959,000 in 1995. Pre tax profits at Green property rose by 34 per cent to £8.6 million for 1996. Six executive directors shared basic salary payments of £593,000, down from £594,000 in 1995 and an average of £98,830 each. In addition, the performance related bonus (based on the performance in the previous year) they shared rose from £71,000 to £138,000, giving them an average of £23,000 each.

They shared £49,000 under a profit sharing scheme and £32,900 in benefits in kind. When pension payments of £159,000 are taken into account the cost to the company of the six executive directors was £971,000, an average of £161,800 each.

The four non executive directors shared fees of £84,000. The chairman Mr Michael MacCormac received fees of £33,750, while the other three non executive directors each received £16,875. At the company's annual general meeting on April 10th shareholders will be asked to approve fixing the aggregate amount of directors' fees at not more than £150,000 per annum.

The managing director, Mr Stephen Veron, who is employed under a two year rolling service contract, was granted options on 31,218 shares during the year at an exercise price of 202p per share. The options granted during 1996 bring his total options to 62,439 shares exercisable at prices between 96p and 202p between 1996 and 2005. With the bulk of the options - 550,650 exercisable at 96p, the average option price is 104p.

At the end of 1996 Mr Vernon owned 60,016 Green shares, from 40,669 at the end of 1995. Mr MacCormac increased his holding from 75,998 shares to 103,258 shares.
